01. Trade Compliance & Incoterms
All transactions are governed by Incoterms® 2020 standards. Unless otherwise specified in writing:
- Container Sales: Conducted on an **EXW (Ex Works)** or **FCA (Free Carrier)** basis from our designated depots.
- Logistics Services: Cargo Zenix operates as a Non-Vessel Operating Common Carrier (NVOCC) where applicable.
- Sanctions: We strictly adhere to OFAC and international trade sanctions. Clients must verify the final destination of all assets.
02. Asset Condition (Used Inventory)
For the sale of 20ft and 40ft shipping containers, the following standards apply:
- "As-Is" Status: Used containers are sold in "Cargo Worthy" or "Wind & Watertight" (WWT) condition as defined by IICL standards.
- Inspection: The Client has 48 hours post-delivery to report structural defects. Surface rust or minor dents do not constitute grounds for return.
- Modification: Any custom modifications (painting, doors) void the original ISO certification for sea-freight unless re-certified.
03. Detention & Demurrage (D&D)
To maintain supply chain velocity, Cargo Zenix enforces strict turnaround protocols:
- Free Time: Standard "Free Time" at ports is 7 days unless specified. Beyond this, daily demurrage rates apply.
- Equipment Return: Failure to return empty containers to the designated inland depot results in detention fees.
- Documentation: Delays in providing the **Packing List** or **Commercial Invoice** resulting in port storage are the sole liability of the Client.
04. General Lien & Security
Cargo Zenix maintains a **General Lien** on any and all property (cargo and equipment) in our possession for all sums due:
- Right of Sale: If invoices remain unpaid for 30 days, Cargo Zenix reserves the right to sell the cargo via public or private auction to recover costs.
- Payment Terms: Freight charges are "Prepaid" unless a "Collect" agreement is established via a verified credit line.
05. Force Majeure & Transit Delays
Cargo Zenix is not liable for delays caused by circumstances beyond our reasonable control:
- Natural disasters, maritime accidents, or vessel mechanical failure.
- Labor strikes, port congestion, or global pandemics.
- Customs inspections or government-ordered holds.
06. Financial Volatility
Due to the nature of global shipping markets, all quotes are subject to:
- GRI (General Rate Increases): Ocean carrier rate spikes.
- BAF (Bunker Adjustment Factor): Fluctuations in fuel costs.
- Validity: Quotes are valid for 72 hours unless otherwise specified.
